This Specialist Agreement (“Agreement”) is entered into between you (“Specialist”) and Extrava LLC, operating as PawPinion (“PawPinion,” “we,” “us,” or “our”), a limited liability company registered in Arizona, USA. By submitting an application to join the PawPinion specialist network and checking the agreement box on the application form, you acknowledge that you have read, understood, and expressly agree to be bound by the terms of this Agreement.
This Agreement supplements and incorporates by reference PawPinion’s Terms of Service and Legal Disclaimer. In the event of a conflict between this Agreement and the Terms of Service with respect to Specialist-specific matters, this Agreement governs.
1. Independent Contractor Status
You are engaged by PawPinion exclusively as an independent contractor. Nothing in this Agreement creates an employer-employee relationship, partnership, joint venture, agency, or franchise between you and PawPinion. You have no authority to bind PawPinion contractually or otherwise.
As an independent contractor, you retain full discretion over how, when, and where you complete case reviews, subject only to the platform’s case acceptance and turnaround expectations. PawPinion does not set your daily schedule, dictate clinical methodology, or supervise your professional judgment in any way.
2. Compensation
PawPinion pays a fixed per-case fee upon successful delivery of a written second opinion through the platform. Compensation rates are as follows:
Essential Opinion
Written second opinion — customer pays $99
Complete Opinion
Written opinion + 20-min video call — customer pays $199
Compensation is considered earned upon successful submission and acceptance of the written opinion through the platform. PawPinion reserves the right to adjust compensation rates with 30 days’ written notice. Cases already assigned at the time of any rate change will be compensated at the rate in effect at the time of assignment.
There is no guaranteed minimum number of cases. Case volume depends on customer demand, your specialty, and your availability settings on the platform.
3. Payment Hold & Withdrawal
All earned fees are subject to a 48-hour hold from the time the opinion is delivered. This review window allows PawPinion to process any customer refund or dispute requests before funds become available for withdrawal. This hold does not affect the amount you are owed — it only governs when it becomes withdrawable.
Once unlocked, you may request a withdrawal at any time through your Earnings dashboard. Payouts are processed via Stripe Connect and are subject to Stripe’s standard processing times (typically 2–5 business days for US bank accounts). A small processing fee may apply depending on your payout method and Stripe’s current fee schedule.
In the event of a confirmed, valid customer refund (e.g., due to a verifiable platform technical failure that prevented service delivery), the corresponding earnings for that case may be reversed. Refunds are granted solely at PawPinion’s discretion and are rare.
4. Tax Obligations
As an independent contractor, you are solely responsible for all federal, state, and local income taxes, self-employment taxes, and any other applicable taxes on your earnings from PawPinion. PawPinion does not withhold taxes on your behalf.
For U.S.-based specialists, PawPinion will issue a Form 1099-NEC for any calendar year in which you earn $600 or more through the platform, as required by the IRS. You agree to provide accurate tax identification information (W-9 or equivalent) upon request and to keep it up to date.
5. Professional Requirements
You represent and warrant that, at all times during your participation on the platform:
- You hold an active, valid veterinary license in at least one U.S. state and are in good standing with the relevant licensing board(s).
- You hold a Diplomate credential from an AVMA-recognized veterinary specialty college appropriate to the specialty under which you are listed on the platform.
- You maintain active professional liability (malpractice) insurance with coverage limits adequate for the services you provide.
- You will promptly notify PawPinion in writing of any license suspension, revocation, disciplinary proceeding, malpractice claim, or material change in your licensure or insurance status.
Failure to maintain any of the above requirements may result in immediate suspension or removal from the platform without prior notice.
6. Scope of Platform Services & Non-Supervision
PawPinion is a technology platform and marketplace only. It connects pet owners with independent veterinary specialists for written second-opinion consultations. PawPinion:
- Does not practice veterinary medicine.
- Does not direct, supervise, or control your clinical judgment, diagnostic conclusions, or professional recommendations.
- Does not establish any veterinarian-client-patient relationship (VCPR) on your behalf.
- Does not set or influence the content, accuracy, or conclusions of your opinions.
You bear full and exclusive responsibility for the professional quality, accuracy, ethical compliance, and consequences of any opinion you deliver through the platform. You agree that your opinions constitute independent professional services, not services rendered on behalf of or under the direction of PawPinion.
7. Case Standards & Turnaround
When you accept a case, you agree to:
- Deliver a written opinion within the platform’s standard 24–48 hour window from the time you accept the case.
- Review all submitted case materials thoroughly before forming your opinion.
- Provide a professional, complete, and accurate second opinion consistent with applicable veterinary standards of care.
- Disclose any conflict of interest or inability to provide an objective opinion before accepting or after accepting a case.
- Promptly notify PawPinion if you are unable to complete an accepted case within the expected timeframe.
8. Confidentiality
All case materials, pet owner information, and patient data you access through the platform are confidential. You agree to:
- Use case materials solely for the purpose of delivering the requested second opinion.
- Not share, reproduce, or disclose any case materials, patient data, or pet owner information with any third party.
- Maintain the confidentiality of your platform login credentials and not share account access.
- Comply with all applicable privacy laws, including HIPAA principles as applied to veterinary information handling.
Confidentiality obligations survive termination of this Agreement.
9. Indemnification
You agree to indemnify, defend, and hold harmless PawPinion, Extrava LLC, and their officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (i) any opinion, recommendation, or clinical judgment you provide through the platform; (ii) your violation of this Agreement or the Terms of Service; (iii) your breach of any professional, licensing, or insurance obligation; (iv) any claim by a pet owner or third party arising from your services; or (v) your negligence or willful misconduct.
10. Termination
Either party may terminate this Agreement at any time by providing written notice to the other party. PawPinion may suspend or terminate your account immediately and without prior notice if you:
- Violate any provision of this Agreement or the Terms of Service.
- Lose or fail to maintain required licensure, board certification, or malpractice insurance.
- Engage in conduct that PawPinion determines, in its sole discretion, is harmful to pet owners, the platform, or the PawPinion brand.
- Fail to complete accepted cases on two or more occasions without adequate notice.
Upon termination, any unlocked earnings already credited to your account remain payable. Earnings subject to the 48-hour hold at the time of termination will be processed according to the standard hold period. PawPinion reserves the right to withhold payment on any case subject to an open customer dispute at the time of termination pending resolution.
11. Governing Law
This Agreement is governed by the laws of the State of Arizona, USA, without regard to its conflict of law provisions. Any dispute arising under this Agreement is subject to the arbitration and dispute resolution provisions set forth in PawPinion’s Terms of Service.
12. Entire Agreement
This Agreement, together with PawPinion’s Terms of Service and Legal Disclaimer, constitutes the entire agreement between you and PawPinion with respect to your participation as a Specialist on the platform and supersedes all prior understandings, representations, and agreements. PawPinion reserves the right to update this Agreement at any time. Continued participation on the platform following notice of an update constitutes acceptance of the revised terms.
